END USER LICENSE AGREEMENT 1. Software License Subject to and conditioned on the terms and conditions of this Agreement, ElectraTherm hereby grants you a limited, non-exclusive, non-transferable license (without the right to sublicense) during the term of this Agreement: • to use the user guides and manuals for installation and use of the Product and Software ElectraTherm makes available to you (“Documentation”) to support your authorized use of the Product and Software; and • to use the Software solely for your own business operations solely on the designated Product in accordance with any limitations specified or referenced in this Agreement and the applicable Documentation. • You may not: • copy or use the Software or Documentation, except to make one copy of the Documentation for backup purposes; • remove or modify any markings or any notice of ElectraTherm’s proprietary rights from the Software, Documentation, or Product; • relicense, sublicense, rent, lease, act as a service bureau or provide subscription services or third party training for the Software; EXHIBIT C (END-USER SOFTWARE LICENSE) This End User License Agreement (“Agreement”) is entered into and effective as of , 201_ (“Effective Date”) by and between ElectraTherm, Inc. (“ElectraTherm”) and the customer identified below (“You”) using the ElectraTherm heat and pressure generator (“Product”) and the controls software (including firmware) included in such Product (“Software”). This Agreement contains the terms and conditions that apply to any and all software and related documentation provided with the Product or later provided or installed by ElectraTherm or the dealer who sold you this Product. You are required to execute this Agreement prior to your use of the Product. By signing below, you agree to the terms and conditions of this Agreement. IF YOU DO NOT AGREE WITH ALL THE TERMS OF THIS AGREEMENT, YOU MAY NOT USE THE SOFTWARE AND SHOULD RETURN THE PRODUCT AND THE SOFTWARE TO THE DEALER WHO SOLD YOU THE HARDWARE. IN SUCH EVENT, PLEASE CONTACT YOUR DEALER IMMEDIATELY.
